SOC 2 Type I vs Type II: which report do your customers actually want?

One is a snapshot, the other is a film. What each report proves, how long each takes, and the sequencing strategy that gets deals unstuck fastest.

Every SOC 2 conversation eventually reaches the same fork: Type I or Type II? The names suggest a version upgrade; the reality is two different claims. A Type I report says your controls were suitably designed on a given day. A Type II report says they operated effectively over a period — usually three to twelve months — with an auditor sampling evidence across that window.

What each one proves

  • Type I: design. The controls exist, are documented, and address the Trust Services Criteria — as of a point in time.
  • Type II: operation. The controls actually ran — access reviews happened, alerts were triaged, changes were approved — demonstrated with evidence sampled across the observation period.

What enterprise buyers expect

Procurement and security teams overwhelmingly ask for Type II, because operation is the part that predicts how you'll handle their data next quarter. A Type I is rarely the end state — but it is far from useless. It proves momentum, unlocks some mid-market deals, and forces your control set to be fully designed before the observation window starts.

The sequencing that works

For companies starting from scratch with a deal waiting, the fastest defensible path is usually: readiness and remediation, a Type I to put a report in the buyer's hands, then an immediate three-to-six-month observation window rolling into Type II. Companies with mature controls and patient buyers often skip Type I entirely and bank the audit fee.

One warning

Don't shop for the shortest possible observation window as a strategy. A three-month Type II is legitimate for a first report, but sophisticated buyers read the period, and renewals will expect twelve. Build the program to run continuously and the window length stops mattering.
